1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Quantum Force LLC ("Company," "we," "us," or "our") governing your access to and use of Lake, including any related applications, services, and features (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

2. Description of Service

Lake is an enterprise AI personal assistant platform that:

• Provides AI-powered assistance for productivity and task management.
• Integrates with third-party services including Google, Microsoft, Slack, Monday.com, and Zoom.
• Offers voice and text-based interaction capabilities.
• Executes actions on connected platforms on your behalf as instructed.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Registration

To access the Service, you must create an account using a valid access code. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities under your account.
• Notify us immediately of any unauthorized access or security breach.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall NOT:

6.1 Nature of AI Assistance

Lake utilizes artificial intelligence to provide assistance. You acknowledge and agree that:

• AI responses are generated algorithmically and may not always be accurate or appropriate.
• The AI assistant is a tool to aid productivity, not a replacement for professional judgment.
• You are responsible for reviewing and verifying AI-generated content and actions.
• AI capabilities may change or evolve over time without notice.

6.2 Action Confirmation

For certain high-impact actions (sending emails, scheduling meetings, modifying data), the Service may request confirmation before execution. You acknowledge that:

• Confirming an action authorizes its execution on your behalf.
• Some actions may be irreversible once executed.
• You bear responsibility for the consequences of confirmed actions.

The Service, including its original content, features, functionality, and underlying technology, is owned by Quantum Force LLC and protected by intellectual property laws. This includes:

• The Lake name, logo, and branding.
• Software, algorithms, and AI models.
• User interface design and visual elements.

You retain ownership of content you provide to the Service. By using the Service, you grant us a limited license to process your content as necessary to provide the Service.

• Conduct that we determine is harmful to other users or the Service.
• Extended periods of inactivity.

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall be conducted in Delaware.

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

• Entire Agreement: These Terms constitute the entire agreement between you and Quantum Force LLC regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
• Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
• Force Majeure: We shall not be liable for delays or failures due to circumstances beyond our reasonable control.
